DISCLAIMERS & DISCLOSURES

By accessing the Services of M/s Matdev Investment Advisers Private Limited (“MF Product App”/ “Matdev”), through the Bitkuber Platform owned and managed by M/s Bitkuber Investments Private Limited (“Bitkuber”), the user undertakes to have read, understood and, wherever applicable, agreed to be legally bound by the terms of the following disclaimers and disclosures:

1. Through the MF Product App, Matdev Investment Advisers Private Limited (“We”, “Us” or the “Company”), a company registered under the Companies Act, 2013 having CIN: U65990KA2020PTC135922 having its registered office at Galaxy, Unit 2, Electra Block,1st Floor, Wing A Exora Business Park, Prestige Tech Park II, Bellandur, Bengaluru – 560037, Karnataka, India and a Registered Investment Advisor under SEBI (Investment Advisers) Regulations, 2013 (“IA Regulations”) vide registration no INA200015592, allows users to invest in, track and manage their investments in direct plans of mutual fund schemes (“Services”). From time to time, the MF Product App may allow the users to invest in other investment products.
2. The Company is providing these Services through its separately identifiable department being through its execution service department which is different from its investment advisory department.
3. The information contained in the MF Product App is for informational purposes only and nothing contained therein should be construed as investment advice (as defined under the IA Regulations), or recommendations or solicitations to buy/sell/hold units of any mutual fund scheme or any other investment products, unless specifically stated otherwise. We make no representation or warranty (expressed or implied) to any user on the advisability of investing in the units of any mutual fund scheme. The past performance of any mutual fund scheme is not indicative of its future performance. Any information on the unit of any mutual fund scheme or other investment products provided on the MF Product App should never be construed as our representation or endorsement for the same.  All the analyst commentary provided on the MF Product App is provided for information purposes only. Such information is meant only as a guide and should not be the sole basis for making investment decisions. Before making investments, the user must independently determine the suitability of investing in units of mutual fund schemes, based on his/her risk appetite and goals. The views and investment tips expressed by investment experts affiliated with Us are their own, and not that of the MF Product App. We advise the user to take appropriate professional advice from duly registered and qualified investment advisors, before making any investment decisions. The user agrees to assume complete and full responsibility for the outcomes of all of his/her investment decisions that he/she makes, including but not limited to losses if any that may be incurred by him/her. The User agrees to not hold the MF Product App responsible or liable for any direct, indirect, incidental, consequential, special, punitive or any other damages arising out of the user’s investments in units of mutual fund schemes.
4. We do not warrant, endorse or assume responsibility for any investment products offered by any issuer of units of mutual fund schemes or issuer of any other investment products and We will not be a party to, or be responsible in any manner, for any transaction between the user and the issuer of units of mutual fund schemes or other investment products. All interactions, communication, dealings and transactions between user and the concerned Asset Management Company (“AMC”) will be separate and independent dealings/transactions between only the user and the concerned AMC. We are not responsible for any dispute arising between the user and the concerned AMC. We do not have any control over such dealings and transactions and play no determinative role in the performance in respect of the same. The user acknowledges that We shall not be responsible or liable for any direct, indirect, incidental, consequential, special, punitive or any other damages (including loss of profit, loss or corruption of data, work stoppage, system malfunction) arising out of the use of the MF Product App and/or use of information and content available on the MF Product App and/or investing units of mutual fund schemes offered by a third-party provider, through the MF Product App.
5. Investment in securities market are subject to market risks. Read all the related documents carefully before  investing. We advise users to read relevant data and risk factors of various mutual fund schemes available in the Scheme Information Document (SID), Statement of Additional Information (SAI), Key Information Memorandum (KIM), etc. The value of any investment may rise and/or fall as a result of market changes and the MF Product App is not intended to predict the actual performance and/or success of any mutual fund scheme and no assurances are given with respect thereto. Past performance is not indicative of future returns. Kindly refer to the Investment Advisory Services Agreement for the details on risk associated with investment in Mutual Funds.
6. Registration granted by SEBI, membership of BASL and certification from NISM in no way guarantee performance of the Investment Adviser (Matdev) or provide any assurance of returns to investors.
7. The MF Product App may present indicative summaries, analysis and information related to different mutual fund schemes generated internally or sourced from third party entities. All summaries, analysis and information (including expense ratio, estimated returns, net asset value (“NAV”), etc.) are historical and for illustration purposes only, and are subject to change. The MF Product App does not purport to disclose all risks and other significant issues relating to any mutual fund scheme. No representation is made as to the reasonableness of the assumptions made within or accuracy or completeness of any data on past performance of schemes or historical analysis and any other analysis of any mutual fund scheme.
8. We have taken due care and caution in the compilation of the information and content available on the MF Product App, some of which may be sourced from third party entities like Morningstar, AMCs etc. However, We do not represent or guarantee whatsoever the authenticity, quality, accuracy, correctness or completeness of any of the information and contents, and We do not assume any responsibility for the same. We specifically state that We cannot be held liable for any losses or damages (monetary, legal or otherwise), caused by any error, omission, interruption, deletion, defect in the information available on the MF Product App, and/or resulting from investment in the units of mutual fund schemes, made on the basis of any information provided on the MF Product App. Further, data (including transaction data) and other information may be obtained by Us from third-party entities, and We are not responsible for verifying the accuracy of the same. The information available on the MF Product App will be updated from time to time. We reserve the right to rectify errors/discrepancies in the date and information provided on the MF Product App, if any are observed or brought to our notice, at any point in time, without being liable for such errors/discrepancies.
9. The MF Product App is provided on an ‘as is’ and ‘as available’ basis and We do not make any representations or warranties as to the operation of the same. The user agrees that their use of the MF Product App is at their own risk. We do not warrant that the contents of the MF Product App, its servers, emails and other communication sent from the MF Product App or the Bitkuber Platform are free from viruses or other harmful properties and shall not be liable for damages of any kind arising from the same. The Bitkuber Platform or the MF Product App may not be compatible with the user’s device and/or operating system and We take no responsibility for the same. We do not guarantee that a user’s access to the MF Product App will be uninterrupted or error-free. The MF Product App and its services may be unavailable from time to time due to required maintenance, telecommunications interruptions, technical errors/ interruptions or other disruptions which hamper the continuous provision of services and the functioning of the MF Product App.
10. Certain hyperlinks or referenced websites on the MF Product App, if any, are for your convenience and forward you to third parties’ websites, which generally are recognized by their top-level domain name. Any descriptions of, references to, or links to other products, publications or services does not constitute an endorsement, authorization, sponsorship by or affiliation with Us with respect to any linked site or its sponsor, unless expressly stated by Us. Any such information, products or sites have not necessarily been reviewed by Us and are provided or maintained by third parties over whom We exercise no control. We expressly disclaim any responsibility for the content, the accuracy of the information, and/or quality of products or services provided by or advertised on these third-party sites.
11. Segregation of investment advisory and distribution services: We are required to segregate our investment advisory and distribution services. The user understands and acknowledges that they can either be provided investment advisory services such that no distribution fee is collected from the user at a group level or can be provided distribution services such that no advisory fee is collected from the user at a group level. The user understands and acknowledges that at the time of onboarding as a client, they will have to opt for either distribution services or investment advisory services. The user further understands that once the user has opted for a service as a client, they cannot avail the other service during the tenure of such service. The user understands and acknowledges that if the user wishes to shift from investment advisory services to distribution services and vice versa, then the same can be undertaken pursuant to the termination of the agreement executed between such user and the Company. The user understands and acknowledges that such termination can be undertaken pursuant to the written consent of the user. For the avoidance of doubt, Matdev is currently not providing any distribution services and the execution platform services provided by Matdev through MF Product App shall not in any manner be construed as distribution service.
12. Prior to transacting through the MF Product App, the user will be required to share their details for the Know Your Client (“KYC”) process and the user understands that this information will be uploaded onto the database of the Know Your Client Registration Agency (“KRA”). The user understands that the information so held by the KRA may be shared by the KRA with the other intermediaries on request. The user acknowledges that We shall not be held liable in respect of any loss incurred by the Client pursuant to the sharing of such data belonging to the user by the KRA with any other intermediary or third-parties.
13. However, personal information of a user collected by Us, being not part of the KYC process, will not be shared with any third-party, except for the cases specified in the ‘Terms of Use’ (“Terms”) and ‘Privacy Policy’.
14. We hereby expressly disclaim any implied warranties imputed by the laws of any jurisdiction. We consider ourselves and intend to be subject to the jurisdiction only of the courts of Bengaluru in India.
15. We hereby undertake as follows:

• there is no disciplinary history against Us as on date
• there are no affiliations with any other SEBI intermediary

16. Conflict of Interest:

• Investment Advisory (IA) services shall be provided to you by a separately identifiable division of the Company, which will be segregated from and maintain an arm’s length relationship with any of the other divisions/ departments of the Company and its group companies at all times.
• The Company for its own proprietary purposes may invest / divest in various securities / investments, from time to time at its own discretion which will be undertaken by a separate and dedicated team. The said segregation will ensure avoidance of conflict of interest with regard to the investment advisory and related business of the Company.
• The Company shall not enter into transactions on its own account which is contrary to its advice given to clients for a period of fifteen days from the day of such advice. Provided that during the period of such fifteen days, if the Company is of the opinion that the situation has changed, then it may enter into such a transaction on its own account after giving such revised assessment to the client at least 24 hours in advance of entering into such transaction.
• The Company does not have any distribution arrangement with the issuers of the securities that the Company advises on.
• The Company does not have any commission sharing agreement with any intermediary for recommending the services.
• The Company does not have actual or potential conflicts of interest arising from any connection to or association with any issuer of products/ securities, including any material information or facts that might compromise its objectivity or independence in the carrying on of investment advisory services.
• The Company’s affiliate entities also provide certain other services through the Bitkuber Platform. Any advice on their products or services like Fixed Deposit, Virtual Digital Assets etc provided by our affiliate entities shall not be construed as rendered or provided by Matdev. 

 

17. The user’s use of the Services on MF Product App and all information contained therein is governed by the ‘Terms of Use’, ‘Privacy Policy’, 'Investment Advisory Services Agreement’ and the terms of the above disclaimer, available on the MF Product App. If the user does not agree with any of the terms of the disclaimer, or with the ‘‘Terms of Use’ or ‘Privacy Policy’ or ‘Investment Advisory Services Agreement’, the user shall not access the MF Product App and immediately exit from the same. We reserve the right to make changes to the MF Product App and the terms of this disclaimer, or the ‘Terms of Use’, ‘Privacy Policy’ and ‘Investment Advisory Services Agreement’ at any time.
